1. Agreement to Terms

These Terms and Conditions govern your access to and use of Learn with Frank, including our website, applications, AI tutoring features, and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Account Responsibility

You must be at least 13 years old (or older if required by your local law) to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it current.

3. Educational Purpose and AI Limitations

Learn with Frank is an educational tool. AI-generated outputs may be incomplete, inaccurate, or outdated. The Service does not provide medical, legal, financial, or other professional advice. You are solely responsible for reviewing and validating any output before relying on it.

4. User Content and Uploads

You may upload or submit content such as notes, documents, prompts, and responses ("User Content"). You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, store, reproduce, and display User Content only as needed to operate, secure, improve, and provide the Service.

You represent and warrant that you have all rights required to submit User Content and that your User Content does not violate law or third-party rights.

5. Acceptable Use

You agree not to:

  • Use the Service for illegal, harmful, abusive, or fraudulent conduct.
  • Upload malware or attempt unauthorized access to systems, data, or accounts.
  • Infringe intellectual property, privacy, publicity, or other rights.
  • Reverse engineer, scrape, or exploit the Service in ways not expressly permitted.
  • Use outputs to build or train competing models in violation of applicable law.

6. Intellectual Property

The Service, including its design, software, trademarks, and non-user content, is owned by Learn with Frank or its licensors and is protected by applicable intellectual property laws. Except for the limited rights needed to use the Service, no rights are granted to you.

7. Third-Party Services

We may rely on third-party providers (for example cloud hosting, authentication, anti-bot, and AI model services). Your use of certain features may also be subject to those providers' terms and policies.

8. Termination and Suspension

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, created legal risk, or threatened security. You may stop using the Service at any time.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, Learn with Frank and its affiliates, officers, employees, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption. Our aggregate liability for all claims related to the Service will not exceed the greater of USD $100 or the amount you paid to us for the Service in the 12 months before the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Learn with Frank and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or law.

12. Governing Law and Disputes

These Terms are governed by the laws of the state where Learn with Frank is principally based, without regard to conflict-of-law rules. To the extent permitted by law, disputes will be resolved through binding individual arbitration, and you waive class-action participation.

13. Changes to Terms

We may update these Terms from time to time. Material changes become effective when posted with an updated "Last updated" date. Continued use of the Service after changes take effect means you accept the revised Terms.
